CLIENT SERVICE AGREEMENT

1. Introduction

This Client Service Agreement outlines the terms governing the professional services provided by Thrive7 Group (“Thrive7”) to its clients.

These terms apply to all projects unless otherwise agreed in writing.


2. Scope of Services

The scope of every project will be defined in an approved proposal, quotation, contract, or statement of work.

Services may include:

  • Branding
  • Website Development
  • Software Development
  • Mobile Applications
  • AI & Automation
  • Consulting
  • Digital Marketing
  • SEO
  • UI/UX Design
  • Business Systems

Only services specifically agreed upon are included within the project scope.


3. Project Commencement

Projects begin after:

  • acceptance of the proposal,
  • confirmation of the agreed scope,
  • and payment of any required upfront fees.

Project timelines commence only after all required information and materials have been received from the client.


4. Client Responsibilities

Clients agree to:

  • provide accurate information,
  • supply required content,
  • provide feedback within agreed timelines,
  • assign a project contact person,
  • obtain rights for any third-party materials supplied.

Delays caused by the client may affect project timelines.


5. Project Changes

Requests outside the original project scope are considered change requests.

Additional work may require:

  • revised timelines,
  • updated quotations,
  • or additional fees.

No additional work will commence until both parties approve the changes.


6. Payments

Unless otherwise agreed:

  • invoices must be paid according to the agreed schedule,
  • work may pause if payments become overdue,

Late payments may attract additional charges where permitted by law or contract.


7. Project Timelines

Estimated delivery dates are based on:

  • timely client communication,
  • availability of required information,
  • and prompt approval of deliverables.

Thrive7 shall not be responsible for delays resulting from:

  • client feedback delays,
  • incomplete information,
  • third-party services,
  • force majeure events.

8. Revisions

Projects include the number of revisions specified in the proposal.

Additional revisions beyond the agreed allowance may incur additional charges.

Major redesigns after approval are considered new work.


9. Intellectual Property

Unless otherwise stated:

Upon full payment:

The client receives ownership or usage rights to the agreed project deliverables.

However, Thrive7 retains ownership of:

  • development frameworks,
  • reusable code,
  • internal tools,
  • templates,
  • methodologies,
  • automation libraries,
  • proprietary systems,
  • and general technical knowledge.

10. Portfolio Rights

Unless a confidentiality agreement states otherwise, Thrive7 may showcase completed projects in:

  • portfolio
  • website
  • presentations
  • proposals
  • marketing materials
  • social media

This includes screenshots and project summaries.


11. Confidentiality

Both parties agree to protect confidential information shared during the project.

Neither party shall disclose confidential business information without prior written consent unless required by law.


12. Third-Party Services

Projects may rely on external providers such as:

  • domain registrars
  • hosting companies
  • payment gateways
  • cloud providers
  • AI platforms
  • API providers

Thrive7 is not responsible for downtime, outages, pricing changes, policy changes, or technical failures caused by third-party services.


13. Maintenance & Support

Ongoing maintenance, updates, hosting, and technical support are provided only where included in a support agreement or maintenance plan.

Completion of a project does not automatically include future support.


14. Warranties

Thrive7 warrants that services will be performed professionally and with reasonable care.

However, we do not guarantee:

  • specific revenue growth,
  • search engine rankings,
  • business success,
  • uninterrupted operation of third-party platforms.

15. Termination

Either party may terminate the agreement by written notice.

The client remains responsible for payment for all completed work up to the termination date.

Any prepaid fees are subject to the terms agreed in the project proposal.


16. Limitation of Liability

To the fullest extent permitted by law, Thrive7’s total liability arising from any project shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

Thrive7 shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.


17. Force Majeure

Neither party shall be liable for delays or failures resulting from events beyond reasonable control, including natural disasters, internet outages, government actions, strikes, pandemics, or other unforeseen circumstances.


18. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
